Closed Beta Terms of Use

These terms govern the closed beta of Ergane Agent (the “Beta”), provided by Authentic AI, Inc. (the “Company”) to invited participants only.

By entering an invitation code and using the Beta, you agree to these terms. If you do not agree, please do not use the Beta. Other services offered by the Company are governed by their own terms.

This English text is provided for reading. The Japanese text is the original; where the two differ, the Japanese text governs.

  1. Article 1What the Beta is

    The Beta lets a small number of invited participants try features that are still in development. It is provided free of charge.

    The Company makes no commitment to release a general version, to implement any particular feature, or to keep the Beta running. Its content, specification and availability may change without notice, and it may be discontinued.

    If a paid general version is released, its terms will be set out in a separate agreement or separate terms at that time.

  2. Article 2Invitation codes

    An invitation code is a credential the Company issues to a named participant. The Company issues and revokes codes; no one else does.

    • Do not disclose, lend, share or transfer your invitation code to anyone.
    • Use under a given code is treated as the act of the participant it was issued to.
    • The Company is not liable for loss arising from inadequate care of a code or from its use by a third party.
    • The Company may revoke any invitation code at any time, for any reason.
  3. Article 3Permitted use

    You may use the Beta and its output for research and internal decision-making in your own business, including by incorporating output into your own materials.

    Without the Company's prior written consent, you may not:

    • lend, resell or sublicense the Beta, or use it on behalf of a third party;
    • offer the output to third parties as a service or product whose principal value is that output; or
    • accumulate output and reconstitute it as a database or as a dataset for machine learning.
  4. Article 4Prohibited conduct

    You may not, in connection with the Beta:

    • violate any law or these terms;
    • infringe the intellectual property, reputation, privacy or other rights of the Company or any third party;
    • attempt unauthorised access, probe for vulnerabilities, reverse-engineer the Beta, or send automated bulk requests that interfere with its operation;
    • use an invitation code issued to someone else;
    • input information that infringes the rights of a third party or that is unlawful;
    • provide any benefit to organised crime groups; or
    • do anything else the Company reasonably considers inappropriate.

    Where the Company judges that such conduct has occurred, it may suspend use or revoke the invitation code without prior notice.

  5. Article 5What you put in

    Input only information you are entitled to input. You are responsible for any third-party confidential information or personal data you enter, and the Company is not responsible for the content of what is entered. The Beta is a research tool; it does not need personal data, and we recommend you do not enter any.

    To produce an answer, what you enter is sent to the generative AI platform, the web search and retrieval platform, and the isolated execution environment the Company has selected. Their facilities may be located outside Japan, and you consent to that processing. The details are set out in the privacy notice.

    The Company does not use your input or the output to train its models, and requires its processors not to reuse them for training either.

  6. Article 6The nature of the answers

    The Beta answers from the knowledge data registered by the Company and, where needed, from material retrieved from the web. Answers are generated by AI. The Company does not warrant their accuracy, currency, usefulness or completeness, and they may contain statements that are not true (so-called hallucination).

    Answers are not investment advice, a recommendation of any financial instrument, or legal, tax or accounting advice. The Beta does not recommend buying or selling; it recasts questions in business terms — customers, product, channel and supply.

    Before relying on an answer for any material decision, check it against the sources cited with it.

  7. Article 7Intellectual property

    Intellectual property in the Beta, in the software that makes it up, and in the knowledge data registered by the Company belongs to the Company or to its rightful owners. These terms transfer none of it to you.

    Rights to use the information you input, and the output generated in response, belong to you. However, because of how generative AI works, identical or similar output may be produced for other participants, and the Company does not warrant that you obtain exclusive rights in any output.

    The Company may copy and retain input and output to the extent needed to provide, maintain and troubleshoot the Beta.

  8. Article 8Conversation history

    Your conversation history is stored inside your own browser. It does not follow you to another device or another browser.

    The Company does not retain the content of conversations outside your browser, except that communication and processing logs may persist for a period for troubleshooting and abuse prevention.

    You can delete the history at any time from the interface or from your browser settings. The Company does not warrant that history is preserved, backed up or recoverable.

  9. Article 9Confidentiality

    Treat unreleased features, screens, specifications and defects you learn of through the Beta as confidential, and do not disclose them to third parties without the Company's prior consent. This does not apply to information that:

    • was already public when disclosed, or became public afterwards through no fault of yours;
    • you already held when it was disclosed;
    • you lawfully obtained from a third party without an obligation of confidence; or
    • you developed independently, without reference to the disclosed information.

    Comments, requests and defect reports you choose to send may be used by the Company, free of charge and without limit of time or territory, to improve the Beta and the Company's services.

  10. Article 10Change, suspension and discontinuation

    The Company may change the Beta, suspend it temporarily, or discontinue it without prior notice, including where:

    • equipment is being maintained or updated;
    • equipment fails, or a service provided by an external party stops, or another cause outside the Company's control arises; or
    • provision becomes difficult through force majeure — natural disaster, change in law, epidemic and the like.

    The Company is not liable for loss arising from any of these.

  11. Article 11Disclaimer and limitation

    The Beta is provided free of charge, as a trial, and as is. The Company gives no warranty of any kind, express or implied, as to completeness, fitness for a particular purpose, or non-infringement.

    Except in cases of the Company's wilful misconduct or gross negligence, the Company is not liable for loss arising from the use of, or inability to use, the Beta.

    Where the Company is liable, its liability is limited to direct and actual loss of a kind that ordinarily arises, and excludes lost profit and loss arising from special circumstances, whether or not the Company foresaw them.

    Where you are a consumer under the Consumer Contract Act of Japan, this clause applies only to the extent the law permits.

  12. Article 12Exclusion of organised crime groups

    Each of the Company and the participant represents and warrants that it is not an organised crime group, a member or quasi-member of one, a corporate racketeer or anything comparable, and that it has no relationship with such parties that would attract social censure.

    If one party is found to be in breach, the other may end use of the Beta immediately without demand, and owes no compensation for loss caused by doing so.

  13. Article 13Ending use

    You may stop using the Beta at any time, at no cost.

    The Company may revoke an invitation code or discontinue the Beta for any reason. After use ends, the provisions on what you put in, intellectual property, conversation history, confidentiality, disclaimer and limitation, exclusion of organised crime groups, and governing law and jurisdiction remain in force.

  14. Article 14Changes to these terms

    The Company may amend these terms. An amendment takes effect when posted on this page, and your use of the Beta after that is taken as agreement to the amended terms.

    For amendments that materially affect participants, the Company will give advance notice through the administrator who issued your invitation code, in addition to posting them here.

  15. Article 15No assignment

    You may not assign your position under these terms, or any right or obligation under them, or offer them as security, without the Company's prior written consent.

  16. Article 16Severability

    If any provision, or part of one, is held invalid or unenforceable by law, the remaining provisions stay in full force.

  17. Article 17Governing law and jurisdiction

    These terms are governed by and construed in accordance with the law of Japan.

    The Tokyo District Court has exclusive jurisdiction, as the court of first instance, over any dispute arising between the Company and a participant in connection with the Beta or these terms.

  18. Article 18Discussion

    Matters not covered by these terms, and any doubt as to their interpretation, will be resolved by the Company and the participant in good-faith discussion.
